Velocta Terms of Service

1. Acceptance of Terms

Velocta ("Velocta," "we," "our," or "us") is a proprietary software platform. By accessing or using the Velocta platform, you agree to be bound by these Terms of Service.

2. Intellectual Property

All content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Velocta, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

2. Use of AI Features

Velocta incorporates artificial intelligence ("AI") features.

• No Warranty: AI outputs are provided "as-is" without warranty of any kind, express or implied, regarding accuracy, completeness, or reliability.
• Human Review: You acknowledge that AI systems can hallucinate or err. You agree to review and verify all AI-generated content before using it for construction, financial, or legal purposes.

3. Absolute Data Isolation & Enterprise AI Architecture

Velocta prioritizes client data security through strict multi-tenant data siloing:

• 100% Client Isolation: All project data, estimates, and financial records are cryptographically bounded to your specific organization. The Velocta AI Agent is contextually restricted and physically incapable of traversing or cross-referencing information between different client accounts.
• Zero Cross-Training: Your proprietary data and uploaded documents are NEVER used to train, fine-tune, or improve global AI models. Velocta utilizes strict Enterprise API integrations where data is discarded immediately after processing.

4. Indemnification & Zero Liability

You agree to indemnify, defend, and hold harmless Velocta, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to:

• (a) Your use of the Velocta platform
• (b) Your violation of these Terms
• (c) Your reliance on any AI-generated content or outputs
• (d) Your violation of any third-party rights

5. Limitation of Liability

To the maximum extent permitted by law, Velocta claims ZERO LIABILITY for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the platform. The platform and its AI Agents are provided strictly as computational tooling; final human verification is universally required for all financial, structural, and contractual outputs.

6. SMS Terms (Text Messaging)

Velocta (Houkan Technologies, LLC) offers optional text messaging in Velocta AI to people who add a U.S. or Canadian mobile number and agree to receive texts. These SMS Terms apply to those messages, in addition to the rest of these Terms.

• What we send: a one-time verification code to confirm your number, a confirmation message, the daily project brief you asked for, and answers to questions you text to Velocta. We do not send marketing or promotional texts.
• Frequency: message frequency varies: about one brief a day, plus replies to questions you send.
• Cost: message and data rates may apply, as set by your mobile carrier.
• Opt out: reply STOP to any message to cancel at any time, and we will stop sending texts to that number. You can also turn texts off in Daily brief by text in Velocta AI. Reply START to resume.
• Help: reply HELP, or email [email protected].
• Consent: agreeing to receive texts is not a condition of purchase or of using Velocta.
• Delivery: mobile carriers are not liable for delayed or undelivered messages, and delivery is not guaranteed.
• Your information: see our Privacy Policy. We do not sell or share your mobile number or SMS consent with third parties or affiliates for marketing or promotional purposes. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

7. Governing Law

These terms are governed by the laws of the State of California, without regard to its conflict of laws principles.
